FemThrive Business Advising Agreement

This agreement is made between Bre Russell, (“Advisor”) and the (“Client”) on the date of the first payment received.

Services

The Contractor Advisor agrees to provide advising and coaching services as outlined in the initial roadmap co-created together.

Term & Hours

The Client agrees to hire the Advisor at a set retainer based on the amount indicated in the invoice per month for 12 months which includes: one or two 90 minute working advising meetings per month based on the retainer amount plus unlimited correspondence via email or text. For additional add-on hours or projects outside of the advising scope requested by the Client, the hourly fee will be $300/hr.

Independent Contractor Status

The Contractor acknowledges that they are an independent contractor and not an employee of the Client. The Contractor will not be entitled to any benefits that the Client provides to its employees.

Confidentiality

The Contractor agrees to keep all Client information confidential and not to disclose any proprietary information to any third party.

Ownership of Work

All work produced by the Contractor in the performance of this Agreement shall be the property of the Client. All work created under the Contractor’s Client, FemThrive, and shared for use with the Client will remain property of the Contractor.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

Advising Session Procedures

Advising sessions may occur in person, by phone, through video conference, or over email, depending on the venue that works best for the Client and Advisor.

  • The Advisor and Client agree to adhere to established meeting times. 

  • The Advisor and Client agree to begin and finish all appointments on time. If the Client is more than 15 minutes late to an appointment, the Advisor will assume that the appointment is canceled and the Client will be responsible for the full advising fee. If the Advisor is more than 15 minutes late to an appointment, the Client may assume that the session is canceled and the Client shall not be responsible for any payment for that session. 

  • The Client agrees to cancel or reschedule a meeting at least 24 hours in advance, without a change fee. 

Fees are payable via recurring subscription processed on the day of the month of this signed agreement every month, and prior to the coaching services being provided each month.
